1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Arcenox LLC ("Company," "we," "us," or "our") concerning your access to and use of TickerQ Hub (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

TickerQ Hub is a control plane for distributed schedulers that provides visibility and management capabilities for scheduler nodes, functions, and configurations. The Service allows users to manage their distributed infrastructure through a centralized platform.

3. User Accounts

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

For security and auditing purposes, we record the IP address and user agent for each login attempt.

4. Subscriptions and Payments

Billing

Some aspects of the Service are provided on a subscription basis ("Subscription"). You will be billed in advance on a recurring basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the subscription plan you select.

Automatic Renewal

Your Subscription will automatically renew at the end of each Billing Cycle unless you cancel it or we cancel it. You may cancel your Subscription renewal through your account settings or by contacting us.

Price Changes

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you in advance and will take effect at the start of the next Billing Cycle following the notice.

5. Free Trial

We may offer a free trial period for new users. By starting a free trial, you expressly authorize us to automatically charge your payment method at the end of the trial period unless you cancel before the trial ends. At the end of the free trial, your account will automatically be charged unless you cancel before the trial ends. We reserve the right to modify or cancel free trial offers at any time without notice.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers
• Use the Service for any fraudulent or illegal purpose
• Collect or harvest user information without consent
• Resell or redistribute the Service without authorization

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Arcenox LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

8. User Content

You retain ownership of any content, data, or information you submit to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely to provide the Service to you.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you acknowledge that your personal data will be processed in accordance with the Privacy Policy.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance. No Service Level Agreement (SLA) is provided unless expressly agreed upon in a separate written agreement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCENOX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Arcenox LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms, misuse the Service, or if termination is required for security, operational, or legal reasons. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through your account settings.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Wyoming.

16. Consumer Rights

Nothing in these Terms is intended to limit any rights you may have that cannot be lawfully waived or limited under applicable law.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
